01 Introduction and Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Esprito Tech QFZ LLC ("Esprito Tech QFZ LLC," "Zeono," "Company," "we," "us," or "our"), a company incorporated under the laws of the State of Qatar and registered in the Ras Bufontas Free Zone, with its registered address at Office 62, Ras Bufontas Admin Building, Building 43, Street 517, Zone 49, Ras Bufontas Free Zone, Doha, Qatar, governing your access to and use of the Zeono platform, including the website at zeono.app, mobile applications, APIs, and all related services (collectively, the "Platform" or "Services").

Zeono is an AI-powered trading assistant that provides Users with natural language tools for analyzing and interacting with US and global stock markets. By accessing, browsing, or using the Platform, creating an account, linking a brokerage account, or otherwise interacting with the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of the Platform.

02 Definitions

"AI Agent" or "AI Assistant" means the artificial intelligence-powered natural language processing system integrated into the Platform, which interprets User commands and provides market analysis, trading insights, and order preparation functionality.

"Brokerage Account" means an account you hold with a third-party regulated broker-dealer through which securities transactions are executed.

"Brokerage Provider" means a third-party SEC-registered broker-dealer and/or FINRA member firm through which your securities transactions are executed, connected to the Platform via API integration.

"Market Data" means real-time and historical pricing data, trading volume, order book information, financial statements, analyst estimates, news, and other market-related information available through the Platform.

"Order" means any instruction to buy, sell, or otherwise transact in Securities prepared through the Platform for submission to your Brokerage Provider, including market orders, limit orders, stop orders, and other order types.

"Securities" means stocks, exchange-traded funds (ETFs), American Depositary Receipts (ADRs), options, and any other financial instruments available for trading through the Platform and your Brokerage Provider.

"Strategy" means a pre-configured or User-defined investment or trading approach, including portfolio allocation models, screening criteria, alert-based strategies, and other analytical frameworks available through the Platform.

03 Eligibility

3.1 Age and Legal Capacity

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction (whichever is higher), to access or use the Services. By using the Platform, you represent and warrant that you meet this age requirement and have the full legal capacity to enter into a binding agreement.

3.2 Brokerage Account Requirement

Certain features of the Platform require you to maintain a valid Brokerage Account with a supported Brokerage Provider. You are solely responsible for opening, maintaining, and complying with the terms of your Brokerage Account. Zeono is not a party to the agreement between you and your Brokerage Provider.

3.3 Jurisdictional Considerations

The Platform provides tools for analyzing US and global stock markets. However, the availability of specific Securities, order types, and market access depends on your Brokerage Provider, your residency, and applicable local laws. You are solely responsible for determining whether your use of the Services complies with all applicable laws and regulations in your jurisdiction.

3.4 US Regulatory Compliance

If you are a US person, you acknowledge that: (a) Zeono is not a registered broker-dealer or investment adviser; (b) all Securities transactions are executed through your independently selected, SEC-registered Brokerage Provider; (c) Zeono does not hold, custody, or control your funds or Securities at any time; and (d) any information or analysis provided through the Platform is for informational purposes only.

3.5 Restricted Persons

The Services are not available to persons or entities subject to economic sanctions administered by the United States (OFAC), the European Union, the United Nations, or any other applicable sanctions authority. The Services may not be used for trading in violation of any applicable securities law, including insider trading, market manipulation, or fraud.

04 Description of Services

4.1 Platform Overview

Zeono is an AI-powered trading assistant that provides Users with natural language tools for analyzing and interacting with US and global stock markets. The Platform enables Users to research securities, analyze market data, prepare and submit orders through connected Brokerage Accounts, set alerts, build watchlists, create trading strategies, and access visualization and analytics tools — all through plain-language text commands.

4.2 Core Functionality

  • AI-powered natural language interface for interpreting market analysis queries and trade preparation commands in multiple languages
  • Market research and analysis tools, including fundamental data, technical indicators (RSI, MACD, moving averages), earnings data, analyst ratings, and news aggregation
  • AI-generated market insights, pattern recognition, and trading signal suggestions
  • Order preparation and submission through connected Brokerage Accounts via authorized API integrations
  • Customizable price, volume, earnings, and news-based alert notifications
  • Portfolio tracking and performance analytics
  • Watchlist management and stock screening tools
  • Chart visualization with technical indicators and AI-generated annotations
  • Pre-built and customizable investment strategies and screening criteria

4.3 Order Execution — Third-Party Brokerage

Zeono does not execute trades. All Securities transactions are executed by your Brokerage Provider. When you submit an Order through the Platform, it is prepared and transmitted to your Brokerage Provider via authorized API. Order execution, fill prices, partial fills, rejections, and timing are solely determined by your Brokerage Provider and the relevant Exchange. Zeono has no control over trade execution, routing, or settlement.

4.4 No Custody of Funds or Securities

Zeono does not hold, custody, control, or have access to your funds, Securities, or Brokerage Account credentials beyond the limited API permissions you authorize. Your funds and Securities remain with your Brokerage Provider at all times.

4.5 No Financial Advice

Zeono does not provide investment advice, financial advice, trading advice, tax advice, or any other professional advice. Any information provided through the Platform is for informational purposes only and should not be construed as a recommendation to buy, sell, or hold any Security. You make all investment and trading decisions independently and at your own risk.

05 Account Registration and Security

5.1 Account Creation

To use the Services, you must create an account by providing accurate, current, and complete registration information. You agree to maintain and promptly update your account information. You may not create multiple accounts or create an account using false or misleading information.

5.2 Brokerage Account Connection

Where the Platform offers integration with Brokerage Providers, you may connect your Brokerage Account via authorized API mechanisms (such as OAuth). By connecting your Brokerage Account, you authorize the Platform to access certain account information and to submit Orders on your behalf within the scope of the API permissions you grant. You may disconnect your Brokerage Account at any time.

5.3 Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password, connected Brokerage Account API tokens, and any other authentication mechanisms. Zeono shall not be liable for any loss or damage arising from your failure to maintain the security of your access credentials. We strongly recommend enabling two-factor authentication where available.

06 AI-Powered Features and Limitations

6.1 Natural Language Processing

The Platform uses artificial intelligence, including large language models and specialized financial NLP models, to interpret your text commands and provide market analysis, insights, and order preparation functionality. You acknowledge and agree that:

  • The AI Agent may misinterpret, misunderstand, or incorrectly parse your commands, particularly ambiguous or incomplete instructions
  • You are solely responsible for reviewing and confirming all Orders before submission, including verifying the security, quantity, price, order type, and time-in-force
  • The AI Agent's output does not constitute financial advice, an investment recommendation, or a solicitation
  • AI-generated trading signals, pattern recognition, insights, and analytics are probabilistic in nature and carry no guarantee of accuracy or profitability
  • AI models may generate outputs that are inaccurate, incomplete, or based on outdated or incorrect data ("hallucinations")

6.2 Confirmation Mechanism

The Platform will present a summary of each prepared Order for your review and confirmation before submission to your Brokerage Provider. It is your responsibility to verify that the Order parameters match your intent before confirming.

6.3 Limitations of AI Analysis

AI-generated market analysis, insights, and signals are based on historical data, statistical models, and pattern recognition. They do not account for all market factors and are inherently limited. Markets are influenced by unpredictable events including geopolitical developments, earnings surprises, and regulatory changes that AI cannot reliably predict.

6.4 AI Model Updates

We may update, modify, or replace the AI models used by the Platform at any time without prior notice. We are not liable for any differences in behavior or output resulting from model updates.

07 Trading and Order Submission

7.1 Order Preparation and Submission

When you confirm an Order through the Platform, it is transmitted to your Brokerage Provider via authorized API integration. You understand and acknowledge that:

  • Zeono acts solely as a technological intermediary that prepares and transmits Orders to your Brokerage Provider. Zeono does not act as a counterparty, broker-dealer, exchange, market maker, or investment adviser
  • Order execution depends entirely on your Brokerage Provider, market conditions, Exchange rules, and applicable regulations
  • Orders may be partially filled, unfilled, delayed, rejected, or cancelled by your Brokerage Provider
  • Market orders are executed at the prevailing market price, which may differ significantly from the price displayed at the time you placed the order
  • Limit orders, stop orders, and other conditional orders are subject to the execution policies of your Brokerage Provider

7.2 Market Hours and After-Hours Trading

Securities trading is generally available only during the operating hours of the relevant Exchange. After-hours trading involves additional risks including lower liquidity, higher volatility, and wider spreads.

7.3 Settlement

Settlement of Securities transactions is handled entirely by your Brokerage Provider in accordance with applicable clearinghouse rules (e.g., T+1 settlement for US equities). Zeono has no involvement in the settlement process.

7.4 Corporate Actions

Dividends, stock splits, mergers, tender offers, and other corporate actions are processed by your Brokerage Provider. The Platform may display information about corporate actions for informational purposes only.

08 Integration with Third-Party Services

8.1 Brokerage Providers

The Platform integrates with third-party Brokerage Providers for the purpose of accessing account information and submitting Orders. Each Brokerage Provider is an independent, regulated financial institution. Zeono is not affiliated with, endorsed by, or responsible for the operations, policies, or regulatory compliance of any Brokerage Provider.

8.2 Market Data Providers

The Platform sources Market Data from third-party data providers and Exchanges. While we strive to provide accurate and timely data, we do not guarantee the accuracy, completeness, or timeliness of any Market Data. Market Data may be delayed, inaccurate, or unavailable at times.

8.3 Third-Party Terms

Your interaction with Brokerage Providers, Market Data providers, and other integrated third-party services is subject to their respective terms of use, privacy policies, and other agreements. It is your responsibility to review and comply with all applicable third-party terms.

8.4 No Warranty for Third-Party Services

Zeono makes no representations or warranties regarding the availability, functionality, security, accuracy, or performance of any third-party service. We are not liable for any losses, damages, or claims arising from your use of third-party services, including trade execution errors, data inaccuracies, API failures, or Brokerage Provider insolvency.

09 Fees and Payments

9.1 Platform Fees

Zeono may charge fees for access to the Platform and/or specific features. The applicable fee structure will be published on the Platform. Zeono reserves the right to modify its fee structure at any time upon reasonable notice.

9.2 Brokerage Fees

Your Brokerage Provider may charge commissions, fees, margin interest, and other costs in connection with Securities transactions. These fees are separate from and in addition to any Zeono fees and are governed by your agreement with your Brokerage Provider.

9.3 Market Data Fees

Access to certain types of Market Data (e.g., real-time Level 2 data, premium research) may require additional fees, whether charged by Zeono or by third-party data providers.

9.4 Taxes

You are solely responsible for determining and fulfilling all tax obligations arising from your trading activity, including capital gains taxes, dividend taxes, and any required tax reporting. Zeono does not provide tax advice and is not responsible for your tax compliance.

10 User Conduct and Prohibited Activities

10.1 General Conduct

You agree to use the Services in compliance with all applicable laws, regulations, and these Terms. You shall not use the Services in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Services.

10.2 Prohibited Activities

You agree that you will NOT:

  • Use the Services for insider trading, front-running, market manipulation, spoofing, layering, wash trading, or any other activity prohibited by applicable securities laws and regulations
  • Trade on the basis of material, non-public information obtained through any means
  • Attempt to exploit, hack, reverse-engineer, decompile, or disassemble any part of the Platform, its AI models, or underlying infrastructure
  • Use bots, scrapers, crawlers, or other automated tools to access the Platform in an unauthorized manner
  • Circumvent any security features, access controls, rate limits, or geographical restrictions implemented by the Platform
  • Redistribute, resell, or republish Market Data obtained through the Platform in violation of applicable data licensing agreements
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Resell, sublicense, or provide access to the Services to third parties without express written authorization from Zeono

11 Risks and Disclaimers

11.1 Securities Trading Risks

You acknowledge and accept the following risks inherent to trading Securities:

  • Market Risk: The value of Securities is volatile and can decline rapidly, including to zero. Historical performance does not indicate future results
  • Liquidity Risk: Certain Securities may have low trading volume, leading to difficulty executing orders or significant price impact
  • Options Risk: Trading options involves a high degree of risk. Options can expire worthless, and you can lose your entire investment
  • Foreign Securities Risk: Trading in foreign Securities involves additional risks including currency fluctuation, political instability, and different regulatory standards
  • Gap Risk: Securities prices may "gap" — opening significantly higher or lower than the prior close — which can result in execution prices materially different from your intended price
  • Technology Risk: The Platform relies on internet connectivity, third-party APIs, AI models, and Brokerage Provider systems. Failures or outages may result in delayed or failed order submission
  • Counterparty Risk: Your Brokerage Provider may become insolvent or fail to meet its obligations. SIPC coverage has limits and does not protect against market losses

11.2 Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZEONO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ZEONO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

11.3 No Guarantee of Execution or Performance

Zeono does not guarantee that any Order will be executed, filled at any particular price, or filled at all. Zeono does not guarantee the performance of any Strategy, AI signal, or analytical output.

12 Intellectual Property

12.1 Platform IP

All intellectual property rights in the Platform, including software, code, algorithms, AI models, user interface designs, trademarks, logos, documentation, and content, are owned by or licensed to Zeono and are protected by applicable intellectual property laws.

12.2 Limited License

Subject to your compliance with these Terms, Zeono grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial trading and investment purposes. This license does not include the right to modify, copy, distribute, sell, lease, or create derivative works from the Platform.

12.3 Market Data Restrictions

Market Data provided through the Platform may be subject to additional licensing restrictions. You may not redistribute, resell, republish, retransmit, or make Market Data available to any third party without the express written consent of the applicable data provider.

12.4 Feedback

If you provide any feedback, suggestions, or ideas regarding the Platform, you hereby assign to Zeono all rights in such Feedback and agree that Zeono may use, implement, and commercialize such Feedback without restriction or compensation to you.

13 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZEONO, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, TRADING LOSSES, MISSED TRADING OPPORTUNITIES, BUSINESS INTERRUPTION, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZEONO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ZEONO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100 USD).
ZEONO SHALL NOT BE LIABLE FOR: (A) ANY LOSSES ARISING FROM TRADE EXECUTION, PARTIAL FILLS, REJECTED ORDERS, OR DELAYS CAUSED BY YOUR BROKERAGE PROVIDER, EXCHANGES, OR MARKET CONDITIONS; (B) ANY LOSSES ARISING FROM INACCURATE, DELAYED, OR UNAVAILABLE MARKET DATA; (C) ANY LOSSES ARISING FROM AI-GENERATED INSIGHTS, SIGNALS, OR ANALYSIS THAT PROVE TO BE INACCURATE; OR (D) ANY LOSSES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT DUE TO YOUR FAILURE TO MAINTAIN ADEQUATE SECURITY.

14 Indemnification

You agree to indemnify, defend, and hold harmless Zeono, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation, including securities laws; (d) your violation of any rights of a third party; (e) any Order submitted or transaction executed through your Brokerage Account; (f) any tax liability arising from your trading activity; or (g) any dispute between you and your Brokerage Provider or any third party arising from your use of the Services.

15 Modifications to Terms and Services

15.1 Changes to Terms

Zeono reserves the right to modify, amend, or supplement these Terms at any time at its sole discretion. Material changes will be communicated through the Platform interface, by email, or by posting the updated Terms with a revised "Last Updated" date. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the modified Terms.

15.2 Changes to Services

Zeono reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, including adding or removing supported Brokerage Providers, Exchanges, Securities, order types, strategies, Market Data sources, or features. Zeono shall not be liable for any modification, suspension, or discontinuance of the Services.

16 Termination

16.1 Termination by User

You may terminate your use of the Services at any time by canceling your account, disconnecting any linked Brokerage Accounts, canceling any active subscriptions, and ceasing to access the Platform. Termination does not relieve you of any obligations incurred prior to termination.

16.2 Termination by Zeono

Zeono may, at its sole discretion and without prior notice, suspend, restrict, or terminate your access to the Services if: (a) you breach any provision of these Terms; (b) we are required to do so by applicable law or court order; (c) we reasonably believe your use of the Services poses a risk to the Platform or other Users; or (d) we decide to discontinue the Services.

16.3 Effect of Termination

Upon termination: (a) any pending Orders not yet submitted to your Brokerage Provider may be cancelled; (b) you remain responsible for any obligations, fees, or liabilities incurred prior to termination; (c) Sections 11–14, 17, and 18 shall survive termination; and (d) your Securities and funds remain with your Brokerage Provider and are accessible through your Brokerage Provider independently of the Platform.

17 Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Qatar, without regard to its conflict of law principles. To the extent that the laws of the Ras Bufontas Free Zone apply to the Company's operations, such laws shall also govern these Terms.

17.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration administered by the Qatar International Centre for Conciliation and Arbitration (QICCA), or alternatively the International Chamber of Commerce (ICC). The arbitration shall be conducted by a single arbitrator, in the English language, with the seat of arbitration in Doha, Qatar. The arbitrator's award shall be final and binding.

17.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

17.4 Limitation Period

Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

17.5 Regulatory Proceedings

Nothing in this Section 17 shall prevent or restrict any regulatory authority, including the SEC, FINRA, CFTC, or any state securities regulator, from exercising its regulatory or enforcement powers, or limit your ability to file a complaint with any such authority.

18 Miscellaneous Provisions

18.1 Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Zeono with respect to the Services.

18.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver. The failure of Zeono to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment. You may not assign or transfer these Terms or any rights hereunder without Zeono's prior written consent. Zeono may freely assign these Terms without restriction.

18.5 Force Majeure. Zeono shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including Exchange outages, Brokerage Provider failures, acts of God, war, terrorism, pandemics, governmental actions, internet service interruptions, or market-wide trading halts.

18.6 Notices. Notices to Users may be provided through the Platform interface, email, or push notifications. Notices to Zeono should be sent to the contact information in Section 19.

18.7 Language. These Terms are drafted in English. In the event of any inconsistency between the English version and any translated version, the English version shall prevail.

18.8 Third-Party Beneficiaries. These Terms do not confer any third-party beneficiary rights.

18.9 Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.
